1. General Principle

As we operate both wholesale and online sales channels, exclusive distribution is not granted by default.
All requests are subject to internal review and approval.


2. Market Evaluation

For well-established and high-demand markets such as United States, France, and Germany, we do not offer exclusive distribution, as we already work with multiple clients in these regions.

Exclusive rights may be considered only if:

  • The market is relatively undeveloped

  • There is clear growth potential

  • The applicant demonstrates strong sales capability


3. How Exclusivity Works

If exclusivity is granted:

  • Online sales and shipping to that country/region will be restricted

  • Orders to that region will only be processed through the appointed distributor

  • Other customers will not be able to place orders with delivery to that region


4. Trial Period & Performance

Exclusive distribution is granted on a trial basis:

  • Initial period: typically 3–6 months

  • A minimum purchase or sales target must be achieved

  • Exclusivity can be extended if targets are met

  • If not, exclusivity will be automatically withdrawn


5. Minimum Commitment

To ensure active market development, distributors are required to:

  • Maintain a minimum order volume or purchase value

  • Actively develop and promote the market


6. Scope of Exclusivity

The scope of exclusivity will be clearly defined, including:

  • Geographic coverage (country or specific region)

  • Sales channels (online and/or offline)

Any rights not explicitly granted are considered non-exclusive.


7. Pricing & Channel Policy

To protect market stability:

  • Distributors must follow agreed pricing guidelines

  • Unauthorized sales on third-party platforms may be restricted

  • Brand usage must comply with our standards


8. Market Limitations (Important)

As we operate an online business, certain situations cannot be fully controlled:

  • Customers may place orders using addresses in other countries

  • Products may later be resold or transported into your market

While we discourage such behavior and will take reasonable action when identified,
we cannot guarantee full control over third-party resale activities.


9. Support & Cooperation

We aim to support our partners by:

  • Monitoring and addressing conflicts when possible

  • Communicating with other clients if issues arise

However, enforcement is limited in cross-border situations.


10. Termination

We reserve the right to withdraw exclusivity in cases such as:

  • Failure to meet agreed targets

  • Violation of pricing or market rules

  • Inactive cooperation


11. Recommended Approach

For new partners, we recommend:

  • Starting with standard wholesale orders

  • Testing the market first

  • Applying for exclusivity once stable sales are achieved
